1. Acceptance of Terms

These Terms of Use (this "Agreement") is a legal agreement between you and 8 Finger HVAC LLC ("8 Finger HVAC," "we," "us," or "our") governing your access to and use of our website, mobile application, and any related software or digital services (collectively, the "Service"). By accessing, browsing, or otherwise using the Service in any manner, you accept these Terms of Use in full. If you do not agree to these Terms of Use or any part of them, you must not use the Service.

2. License to Use the Service

Subject to your compliance with these Terms of Use, 8 Finger HVAC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not:

THE SERVICE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. 8 Finger HVAC makes no representations or warranties of any kind, express or implied, regarding the Service. To the maximum extent permitted by applicable law, 8 Finger HVAC disclaims and excludes all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability
  • Implied warranties of fitness for a particular purpose
  • Implied warranties of non-infringement
  • Warranties of title or ownership
  • Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components
  • Warranties that the information, content, or materials on the Service are accurate, reliable, complete, or current

No oral or written information or advice given by 8 Finger HVAC or its representatives shall create a warranty. You bear the entire risk of using the Service.

4. No Implied Contracts

Nothing contained on the Service or in any communication from 8 Finger HVAC shall be construed as creating any contract, agreement, or legally binding obligation between you and 8 Finger HVAC, whether express or implied, unless expressly stated in writing and signed by an authorized representative of 8 Finger HVAC LLC. No employee, agent, or representative of 8 Finger HVAC has the authority to create any warranty, contract, or binding obligation on behalf of 8 Finger HVAC except in writing signed by an authorized officer.

The submission of a service request, contact form, quote request, or second opinion request through the Service does not create a binding service contract. Any service agreement is formed only upon written acceptance by 8 Finger HVAC and payment of agreed-upon charges. Estimates and quotes provided through the Service are informational only and are not binding offers.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 8 FINGER HVAC LLC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE FORM OF ACTION OR THE BASIS OF THE CLAIM, EVEN IF 8 FINGER HVAC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Because some jurisdictions do not allow the exclusion or limitation of liability for certain damages, the above limitation may not apply to you to the extent that applicable law prohibits such exclusion or limitation.

6. Third-Party Services

The Service may contain links to, or integrate with, third-party websites, services, or content that we do not control. 8 Finger HVAC makes no representations or warranties regarding any third-party content or services and is not responsible for their availability, accuracy, or content. Your use of any third-party service is at your own risk and subject to that third party's terms and policies.

7. Breach of Terms of Use

You agree that any breach of these Terms of Use by you will cause irreparable harm to 8 Finger HVAC, for which monetary damages would be an inadequate remedy. In the event of such breach, 8 Finger HVAC shall be entitled to seek injunctive relief and any other available equitable remedies, in addition to any other rights or remedies available at law or in equity, without the necessity of proving actual damages or posting a bond.

8 Finger HVAC reserves the right to terminate or restrict your access to the Service at any time, without notice, for any reason, including if we believe you have violated these Terms of Use.

8. Variation of Terms

8 Finger HVAC reserves the right to revise, modify, or update these Terms of Use at any time at its sole discretion. Any changes will be effective immediately upon posting the revised Terms of Use on the Service. Your continued use of the Service following the posting of any changes constitutes your acceptance of the revised Terms of Use. It is your responsibility to review these Terms of Use periodically for changes.

9. Governing Law & Jurisdiction

These Terms of Use are governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction and venue of the United States District Court for the Southern District of Iowa (or, where applicable, the state courts located within the Southern District of Iowa) for the resolution of any dispute arising from or relating to these Terms of Use or your use of the Service.

10. Severability

If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be reformed to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect. The invalidity or unenforceability of any provision in one jurisdiction shall not affect its validity or enforceability in any other jurisdiction.

11. Entire Agreement

These Terms of Use, together with our Privacy Policy, Legal Indemnity, and Contact Form & Service Agreement, constitute the entire agreement between you and 8 Finger HVAC LLC regarding your use of the Service. These terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and 8 Finger HVAC regarding the Service. No other agreements, representations, warranties, or conditions of any kind shall be binding on 8 Finger HVAC unless expressly stated in writing and signed by an authorized representative of 8 Finger HVAC LLC.
